By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.
For Organizations: If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.
2. Service Description
ChefVision AI provides a voice analytics platform that enables users to:
- Record and transcribe in-person conversations in real-time
- Analyze conversations using AI-powered template-driven insights
- Generate organizational intelligence from field meetings and customer interactions
- Access analytics dashboards and reporting tools
- Collaborate with team members on conversation insights
Privacy-First Architecture: As described in our Privacy Policy, we do not permanently store audio recordings. Audio is processed in real-time to generate transcriptions, which are then stored securely.
3. Eligibility and Account Registration
3.1 Eligibility
You must be at least 16 years of age to use the Service. By agreeing to these Terms, you represent and warrant that you are at least 16 years old and have the legal capacity to enter into this agreement.
3.2 Account Registration
To access certain features, you must create an account. You agree to:

- Maintain and promptly update your account information
- Keep your password secure and confidential
- Notify us immediately of any unauthorized access to your account

4. Subscription Plans and Billing

4.2 Billing and Payment
- Subscription Fees: Paid plans are billed monthly or annually in advance
- Auto-Renewal: Subscriptions automatically renew unless cancelled before the renewal date

- Price Changes: We may change pricing with 30 days' notice; changes apply to subsequent billing periods
- Taxes: Fees do not include applicable taxes; you are responsible for all taxes
- Late Payment: Failure to pay may result in service suspension or termination
4.3 Refunds and Cancellations
- Cancellation: You may cancel your subscription at any time through your account settings
- Effect of Cancellation: Access continues until the end of your current billing period
- No Refunds: We do not provide refunds for partial months or unused service, except as required by law
- Free Trial: If you cancel during a free trial, you will not be charged
5. Acceptable Use Policy
5.1 Permitted Use
You may use the Service for lawful business and professional purposes, including:

- Generating insights for organizational intelligence and performance improvement

5.2 Prohibited Conduct
You agree NOT to:
- Illegal Activities: Use the Service for any illegal purpose or in violation of any laws
- Recording Without Consent: Record conversations without proper consent as required by applicable laws (see Section 6)
- Misrepresentation: Impersonate others or misrepresent your affiliation
- Abuse: Harass, threaten, or abuse other users or our personnel
- Security Violations: Attempt to gain unauthorized access, interfere with security features, or reverse engineer the Service
- Data Mining: Use automated tools to scrape, copy, or monitor the Service
- Excessive Use: Abuse rate limits, overload systems, or engage in activity that degrades service performance
- Spam: Send unsolicited messages or use the Service for spam purposes
- Malicious Content: Upload malware, viruses, or malicious code
- Third-Party Violations: Violate the rights of third parties, including privacy, intellectual property, or publicity rights
5.3 Enforcement
We reserve the right to investigate violations, suspend or terminate accounts, remove content, and report illegal activity to law enforcement.
6. Recording Consent and Legal Compliance

YOU ARE SOLELY RESPONSIBLE for obtaining all necessary consents before recording conversations. Recording laws vary by jurisdiction. Failure to comply may result in civil and criminal penalties.
6.1 Recording Consent Requirements
- Know Your Jurisdiction: Familiarize yourself with recording laws in your location and the locations of all conversation participants
- One-Party vs. All-Party Consent:
- One-Party Consent States/Countries: At least one participant (you) must consent
- All-Party Consent States/Countries: ALL participants must consent before recording
- Obtain Explicit Consent: When in doubt, inform all participants that recording is taking place and obtain their agreement
- Business Compliance: Ensure compliance with your organization's policies and industry regulations (e.g., HIPAA, GDPR, FINRA)
6.2 Our Role
ChefVision AI provides tools for recording and transcription. We do NOT:
- Provide legal advice regarding recording consent requirements
- Verify that you have obtained proper consent
- Assume liability for your failure to comply with recording laws
We strongly recommend consulting with a legal professional to ensure compliance with applicable recording laws in your jurisdiction.
7. Intellectual Property Rights
7.1 Our Intellectual Property
The Service and all content, features, and functionality (including but not limited to software, algorithms, user interfaces, logos, and trademarks) are owned by ChefVision AI and are protected by copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your business purposes in accordance with these Terms.
7.2 Your Content
You retain ownership of all content you create or upload, including transcriptions, recordings, templates, and analysis results ("Your Content").
By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to:
- Store, process, and transmit Your Content as necessary to provide the Service
- Use aggregated, anonymized data derived from Your Content to improve our AI models and Service (no personally identifiable information is used)
7.3 Feedback
If you provide feedback, suggestions, or ideas about the Service, we may use them without any obligation to you.
8. Data Privacy and Security
Our collection, use, and protection of your data is described in our Privacy Policy, which is incorporated into these Terms by reference.

- Audio Privacy: Audio is never permanently stored; only transcriptions are retained
- Encryption: All data is encrypted in transit and at rest
- Access Controls: Your organization controls who can access your transcriptions
- Compliance: We comply with GDPR, CCPA, and offer HIPAA compliance for healthcare organizations
9. Third-Party Services
The Service integrates with third-party services for AI processing, analytics, and infrastructure. These include:
- OpenAI (GPT for analysis)
- Google Cloud AI (transcription and NLP)
- AWS (cloud infrastructure)
- Stripe (payment processing)
Use of third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices or performance of third-party services.
10. Disclaimers and Limitations of Liability
10.1 Service "As Is"
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We disclaim all warranties, including but not limited to:
- Merchantability, fitness for a particular purpose, and non-infringement
- Accuracy, reliability, or completeness of transcriptions or AI analysis
- Uninterrupted, secure, or error-free operation
- Results obtained from using the Service
10.2 AI Accuracy Disclaimer
AI-generated transcriptions and analysis may contain errors. You are responsible for reviewing and verifying accuracy before relying on any output from the Service. Do not use the Service for critical decisions without human review.
10.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHEFVISION AI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Service interruptions, data loss, or security breaches
- Actions or inactions of third-party services
- Your violation of recording consent laws or other legal obligations
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
10.4 Exceptions
Some jurisdictions do not allow certain limitations of liability. In such cases, our liability is limited to the maximum extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless ChefVision AI and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

- Your violation of any laws, including recording consent laws
- Your Content or any infringement of third-party rights
- Your negligence or misconduct
12. Termination
12.1 Termination by You
You may terminate your account at any time by:
- Cancelling your subscription through account settings

12.2 Termination by Us
We may suspend or terminate your access to the Service immediately, without notice, if:
- You violate these Terms or our Acceptable Use Policy
- You fail to pay fees when due
- Your use poses a security risk or legal liability
- We discontinue the Service (with 30 days' notice)
12.3 Effect of Termination
- Your right to access and use the Service immediately ceases
- We may delete Your Content after a 30-day grace period (you should export data before termination)
- Sections of these Terms that by their nature should survive (e.g., intellectual property, liability limitations) will continue to apply
- You remain liable for any outstanding fees
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by:

You waive your right to a jury trial and to participate in class actions or class arbitrations.
